**GRANT AGREEMENT**<\/p>\n
AGREEMENT dated June 7, 2024, entered into between UKRAINE (\u201cRecipient\u201d) and INTERNATIONAL BANK FOR RECONSTRUCTION AND DEVELOPMENT (\u201cWorld Bank\u201d) and INTERNATIONAL DEVELOPMENT ASSOCIATION (\u201cAssociation\u201d).<\/p>\n
The Recipient and the World Bank and the Association hereby agree as follows:<\/p>\n
1. The Agreement, dated December 15, 2022 (as amended to date), for the Emergency Inclusive Support for Recovery of Ukraine\u2019s Agriculture (ARISE) Project between the Recipient and the World Bank and the Association (\u201cAgreement\u201d) is hereby amended to read as follows:<\/p>\n
a. Section 3.01 is amended to read as follows:<\/p>\n
\u201c3.01. The World Bank and the Association agree to extend to the Recipient, on the terms and conditions set forth or referred to in this Agreement, a grant in an amount not to exceed four hundred fifteen million United States Dollars (USD 415,000,000) (\u201cGrant\u201d) to assist in financing the Project.\u201d<\/p>\n
b. The table in Section IV.A of Schedule 2 is deleted in its entirety and replaced with the following:<\/p>\n

2. Except as specifically amended in this Amendment Letter, all other provisions of the Agreement remain in full force and effect.<\/p>\n
3. This Amendment Letter shall become effective as of the date of the countersignature hereof by the Recipient.<\/p>\n
